Samantha's practice focuses on debt transactions, acting for both borrowers and lenders (bank and private credit). Samantha represents Canadian, U.S. and international financial institutions, non-bank lenders and corporations in connection with cross-border transactions, acquisition financings, bilateral and syndicated loan transactions, second lien and mezzanine financings, asset-based lending transactions, commercial real estate loan transactions, project financings and streaming transactions

Samantha has developed particular expertise in the mining sector and advises on projects within and outside Canada.

Select Experience

Samantha has worked on several significant financings including representing:

  • Skeena Resources Limited on its US$750-million project financing package

  • A U.S. private lender on a US$55-million senior secured term credit facility to a Canadian borrower

  • Equinox Gold Corp. in connection with its acquisition of 40% of the Greenstone Mine for US$995-million and US$500-million debt facility

  • Capstone Mining Corp. on refinancing its US$700-million secured revolving credit facility in connection with its business combination with Mantos Copper

  • Equinox Gold Corp. on its C$700-million secured revolving credit facility

  • Ascot Resources Ltd. in connection with its streaming and senior and subordinate debt facilities

  • Seabridge Gold Inc. in connection with its US$225-million note to Sprott Resources and Ontario Teachers' Pension Plan which is convertible into a silver royalty

  • Equinox Gold Corp. in connection with its C$1.3-billion merger with Leagold Mining Corporation and debt financing of US$500-million

  • Canadian and US lenders in a number of large syndicated asset-based lending transactions with Canadian borrowers in the natural resource sector

  • A U.S. lender in connection with a C$600-million commercial real estate loan to a Canadian borrower
