Blakes’ IP group advises on commercial transactions in which IP is an important component. Our group has worked with clients to leverage IP value and to obtain and provide IP security for some of the largest M&A transactions in Canada.

Our transaction advice and services include the drafting and negotiation of IP provisions in deal documents, due diligence, negotiation of licences, conveyancing of IP, preparing infringement and validity reviews and opinions, and drafting and negotiating other agreements related to IP protection. Our group also has significant experience in advising clients on the impacts of insolvency on IP.

Our group regularly counsels clients on IP strategy, audits, research and development, shared development and collaborations, IP transfers and a host of other transactions, including joint-ventures and other vehicles designed to acquire, assign, or otherwise exploit IP rights.
 
Our group also advises on marketing, distribution, non-disclosure agreements and other business transactions regarding products, services and technologies protectable under international, federal, state or local IP laws.
 
Working closely with our IP litigators, our group has deep experience advising on dispute resolution involving patents, trademarks, copyright, confidential information and trade secrets, technology, covenants not to compete, and other IP protections.
 
In the global arena, we work collaboratively with an international network of law firms to assist clients with their licensing and other business agreements wherever they do business.
