About Andrew

Andrew's practice focuses on banking, financial services, asset-based finance, debt finance & lending and project finance. He regularly acts on secured and unsecured debt syndications, acquisitions financings, subscription-based credit facilities, note and bond deals, subordinated debt arrangements, and intercreditor arrangements. He also has experience in corporate and commercial acquisitions and regularly advises on cross-border financings.

Andrew has experience in financing transactions across a wide range of industries and sectors, including energy, financial services, oil and gas, construction and agriculture.

Andrew also regularly acts as agent counsel to international law firms in providing Canadian advice on various financing transactions.

Select Experience

Representing as lead counsel or as a part of the Blakes Financial Services group on the following matters:

  • Lenders in the establishment of, and ongoing advisory services for, syndicated credit facilities for Baytex Energy Ltd. and Athabasca Oil Corporation

  • Lenders financing the Sturgeon County oil refinery being developed by North West Redwater Partnership

  • Agrium Inc. on a number of its domestic and international financings including its US$2.5-billion syndicated global facility

  • Canadian counsel to the lenders financing the Vantage Pipeline project

  • Canadian counsel to the lenders financing the Winsway/Marubeni acquisition of Grande Cache Coal

  • Lenders in the financing of Stuart Olson Inc.'s acquisition of Seacliff Construction Corp.

  • Numerous large, mid-market and smaller syndicated and non-syndicated credit facilities led by Canadian banks ranging in size from C$5-million to C$1-billion

  • TC Energy in connection with issuance (on a limited recourse basis) by Northern Courier Limited Partnership of C$1.0-billion senior secured notes and establishment of a C$70-million operating credit facility
