About Angelo

Angelo provides legal services to a broad range of domestic and international clients in relation to complex transactions, as well as specialized aspects of corporate and commercial law. His practice focuses primarily on mergers and acquisitions, private equity, venture capital, energy, joint ventures, capital investments and divestitures, and infrastructure projects.

Angelo has acted as counsel to numerous foreign entities in establishing, financing and expanding their business in Canada, and has advised entrepreneurs and investors on structuring their holdings in a variety of industries. He has over 25 years of experience on complex share and asset purchase transactions for both strategic and private equity clients, in such sectors as food and agribusiness, aerospace, defence, automotive parts, high tech, energy production, software, publishing, and pulp and paper.

Angelo has authored many articles, principally in the areas of mergers and acquisitions, energy law and joint ventures, and is frequently asked to speak on these and other corporate and commercial law topics for several organizations and university faculties.

Angelo sits on the Firm's Partnership Committee and his external board involvement includes the board of directors of the Italian Chamber of Commerce and the advisory board of the M&A Club. He is fluent in English, French and Italian and has a working knowledge of Spanish.

  • Advised Westgroupe in relation to its merger with FYi Health Group

  • Advised Hidden Harbour Capital Partners in relation to the acquisition of Anchor Danly and AWC Manufacturing from Cornell Limited Partnership

  • Advised H.I.G. Capital, LLC in relation to its acquisition of the Cascades Fine Papers Group

  • Advised Traductions Serge Bélair Inc. (TRSB) in relation to its recapitalization by Hammond, Kennedy, Whitney & Company, Inc. (HKW)

  • Advised Clyde Blowers Capital in relation to the acquisition of the assets of Unigear Inc.

  • Advised Trussbridge Advisory (DIFC) Limited in relation to its acquisition of La Maison Cannelle Sans Gluten inc.

  • Advised certain investors in relation to completion of US$100-million Series B round financing of DalCor Pharmaceuticals

  • Advised Magneti Marelli S.p.A. in relation to its investment in LeddarTech Inc.

  • Advised X2O Media, Inc. in relation to its acquisition by Barco NV

  • Advised the potential purchaser of the Cirque du Soleil in relation to its participation in the Companies' Creditors Arrangement Act sales process

  • Advised Carco PRP Limited on its acquisition of Hi-Tech Seals

  • Advised Fireman & Company Inc. on its acquisition by EPIQ

  • Advised Microsoft Corporation on its acquisition of the assets of Credentica Inc.

  • Advised Labomar S.P.A. in relation to its acquisition of Importfab Inc. and its subsequent initial public offering

  • Advised a global defence company in relation to the sale of its commercial flight training unit to CAE Inc.

  • Advised Infolytica Corporation in relation to its acquisition by the Siemens/Mentor Group

  • Advised Emmi International AG in relation to its acquisition of the cheese and dairy-related business of J.L. Freeman Limited Partnership

  • Advised Nabco Canada Inc., an indirect subsidiary of Japan-based Nabtesco Corporation, in relation to several share and asset transactions in Canada

  • Advised Videsh Sanchar Niger Ltd. (VSNL) (a subsidiary of the Tata Group) on its acquisition of Teleglobe International Holdings Ltd.

  • Advised Belron Canada Incorporated in relation to a series of share and asset purchase transactions in all ten Canadian provinces

Energy and Infrastructure/P3

  • Advised Transurban Group in relation to its acquisition of the A25 toll road bridge in Quebec, Canada, from Macquarie Infrastructure Partners

  • Advised a large European multinational in relation to its acquisition of an operating wind farm in Alberta, Canada

  • Advised one of the two qualified proponents bidding on the McGill University Health Centre public-private partnership (P3) hospital project in Montréal, Quebec

  • Advised the public authority and the Agence des partenariats public-privé du Québec in relation to the Montréal Symphony Orchestra P3 project in Montréal, Quebec

  • Advised the lenders to one of the qualified proponents in relation to the Autoroute 30 P3 project in the vicinity of Montréal, Quebec
