About Ashton

Ashton's practice focuses primarily on advising clients within the energy industry on a diverse range of transactional, corporate and commercial matters. She has experience assisting clients with mergers and acquisitions, project development, joint ventures, complex commercial arrangement and cross-border transactions. Ashton advises strategic clients and private equity investors, with a particular emphasis on all aspects of the energy value chain, including upstream oil and gas, pipelines, midstream, downstream and marketing, power and renewables, and carbon capture, storage and utilization.

In 2017, Ashton received the Horace Harvey Gold Medal for achieving the highest standing in her graduating class. In 2018–2019, Ashton worked as a law clerk at the Supreme Court of Canada for the Honourable Justice Russell Brown. In 2017–2018, Ashton completed articles of clerkship at the Court of Appeal of Alberta, where she articled to the Honourable Justice Brian K. O'Ferrall.

  • Pembina Pipeline Corporation on its acquisition of Enbridge Inc.’s joint-venture interests in Alliance Pipeline, Aux Sable and NRGreen for C$3.1-billion and its concurrent C$1.1-billion bought deal offering of subscription receipts

  • Suncor Energy Inc. on its C$1.468-billion acquisition of TotalEnergies EP Canada Ltd., which holds a 31.23% working interest in the Fort Hills oil sands mining project

  • Pembina Pipeline Corporation in connection with its partnership with TC Energy for the development of the Alberta Carbon Grid, a proposed carbon transportation and sequestration project servicing the Alberta Industrial Heartland

  • Suncor Energy Inc. on the sale of its wind and solar assets for C$730-million to Canadian Utilities Limited

  • Suncor Energy Inc. on its C$688-million acquisition of an additional 14.65% working interest in the Fort Hills Project from Teck Resources Limited

  • Pembina Pipeline Corporation on its C$11.4-billion joint venture with KKR & Co. Inc. to merge their western Canadian natural gas processing assets

  • Pembina Pipeline Corporation in connection with a 20-year midstream services agreement for the transportation and fractionation of liquids with a northeast British Columbia Montney producer

  • Cenovus Energy Inc. on its acquisition of the remaining 50% of the Sunrise oil sands project from BP Canada Energy Group ULC for C$600-million, a variable payment of up to C$600-million and Cenovus' 35% position in the Bay du Nord project

  • Coastal GasLink Pipeline Limited Partnership in its negotiation of revised agreements with LNG Canada to allow for the continued execution of the approximately C$11.2-billion pipeline project

  • Ostara Nutrient Recovery Technologies Inc., a wastewater treatment system provider and fertilizer producer, on its collaboration with Evoqua Water Technologies for Ostara’s nutrient recovery technology in North American and Western European municipal markets

  • Nutrien Ltd. on its commercialization agreement with a technology developer for development, commercialization and production of potash, nitrogen and phosphate-based fertilizer products incorporating micronized sulfur

  • A large Canadian bank for its negotiations with its primary payment networks

  • Waterous Energy Fund on its acquisition of a 45% interest in Osum Oil Sands Corp.

  • Jupiter Resources Ltd. in its approximately C$630-million sale to Tourmaline Oil Corp.

  • TC Energy Corporation on its sale of a 65% equity stake in the Coastal GasLink Pipeline Project to KKR and AIMCo and the concurrent execution of a credit agreement providing non-recourse project-level financing to fund the majority of construction costs for the project

  • Canadian counsel to Heartland Generation Ltd., an affiliate of Energy Capital Partners, on its C$835-million acquisition of Canadian Utilities Ltd.'s natural gas and coal electricity generation interests in Alberta, British Columbia and Ontario

  • Suncor Energy Inc. on its investment in Enerkem Inc., a Canadian biofuel technology company

  • Strath Resources Ltd. on the acquisition of Montney assets from Parmount Resources Ltd. for total consideration of C$340-million, paid 50% in cash and 50% in common shares of Strath

  • Rally Chain Technologies Inc. on the sale of its blockchain business to Finhaven Technology Inc.
