About Lindsay

Lindsay's practice covers a broad range of transactional and commercial matters, with a focus on mergers and acquisitions, private equity, and pension fund investments. She advises clients on all aspects of complex corporate transactions, including strategic mergers, divestitures, minority investments, and cross-border transactions. Lindsay routinely provides advice to pension funds and other institutional investor clients on their private equity, infrastructure, real estate, hedge fund and other investments.

In addition to her transactional work, Lindsay's experience includes advising clients on all aspects of their corporate and commercial arrangements, including reorganizations and other corporate restructurings, and complex shareholder, partnership, joint venture, and other commercial agreements.

Lindsay has represented domestic and international clients in the life sciences, energy, technology, manufacturing, food, beverage and agribusiness, and retail sectors, among others. She has completed a secondment to the head office of one of the Firm's large retail clients, where she worked on a wide variety of corporate, commercial and compliance matters.

  • Various pension plans and other institutional investors on their private equity, debt, real estate, and infrastructure fund investments

  • Founder and investors on sale of 80% of Knix Wear Inc. to Essity for US$320-million

  • L Catterton on its minority equity investment in FYidoctors

  • Frontier Capital on its acquisition of cfactor Works

  • GAT Airline Ground Support, a portfolio company of Atlantic Street Capital, on its acquisition of Strategic Aviation Services and Sky Café

  • Aura Minerals on its sale of the Serrote da Laje Copper Gold project in Brazil to a purchaser group being advised by Appian Capital Advisory LLP

  • Suncor on the sale of its half interest in the Cedar Point II wind project to Fiera Capital

  • Mueller Water Products on various strategic cross-border acquisitions and divestitures

  • Linamar Corporation on its C$1.2-billion acquisition of the MacDon Group of Companies

  • An international syndicate of investors in a series A financing of a life sciences company

  • Canada Bread Company, Limited on its acquisition of Italian Home Bakery (food products)

  • A US private equity firm on its acquisition of a large manufacturer and distributor of home ventilation and heating products

  • A large multinational manufacturer and distributor of power generation products on a reorganization of its Canadian business

Lindsay has been recognized as a leading lawyer in The Legal 500 Canada 2024 (Corporate and M&A).

Professional Activities

Lindsay serves as Co-Chair of the Toronto Student Committee. She is actively involved in mentoring and in diversity, equity and inclusion initiatives at the Firm.

Lindsay often leads external and internal seminars and lectures on M&A, private equity, fund investment and other areas of corporate law.

Lindsay is a member of the Law Society of Ontario and the Canadian Bar Association.
