About Bailey

Bailey’s practice focuses on general corporate and commercial matters. She assists clients on a range of matters and transactions, including asset acquisitions and dispositions, corporate reorganizations, private equity transactions, and mergers and acquisitions.

Prior to joining Blakes, Bailey practised corporate law at a leading national law firm.

Prior to joining Blakes, Bailey was involved in the following representative matters:

  • A private equity firm in its acquisition of a roofing company and a systems integration company, including upstream fund structuring and formation, and senior lender financing arrangements

  • An investment firm in its acquisition of a metal fabricators business, including upstream fund structuring and formation, and senior lender credit arrangements

  • A midstream infrastructure company in its C$400-million acquisition of oil batteries and related midstream infrastructure, and related commercial arrangements, including a long-term take-or-pay handling agreement and support for future infrastructure development

  • A growth fund in its partnership with a resource company to develop up to C$2-billion of carbon capture and sequestration infrastructure on steam-assisted gravity drainage oil sands facilities

  • A private equity firm in its investment in a manufacturing group

  • A consortium in acquisition, commercial, project development, and project financing matters supporting advancement to a positive final investment decision regarding a US$3.4-billion LNG project; a floating LNG facility in British Columbia within the traditional territory of an Indigenous community, which will be the world’s first Indigenous majority-owned LNG project

  • The underwriters in a C$1.28-billion bought deal offering of subscription receipts by a pipeline corporation

  • An energy company in its C$120-million sale of assets in west-central Alberta

  • An energy producer in its C$1.7-billion sale of Montney assets to another energy company, and in the spin-out of additional Montney assets into a newly-formed subsidiary

  • A mining company in its C$1-billion sale of its interest in an oil sands project and certain associated downstream assets to other energy companies

  • A private investment firm in its C$660-million acquisition of a significant interest in a Canadian natural gas liquids pipeline system from two major partners

  • A global corporation, as Canadian counsel, in its acquisition of a pet food company from an investor group

  • An energy company in its business combination with another oilfield company to form a new entity, and related C$65-million private placement
