About Charles

Charles' practice focuses on commercial lending transactions, debt financing, acquisition finance and related transactions, including general corporate matters. He has experience working on secured and unsecured debt financing transactions, bilateral and syndicated loan transactions, acquisition financings, cross-border financings and corporate reorganizations.

Charles has advised lenders and borrowers in various industry sectors, including energy, mining, oil and gas, agriculture, manufacturing and cannabis.

Charles also regularly acts as agent counsel providing advice on Canadian aspects of multi-jurisdictional financings.

Select Experience

Recent representative transactions include acting for:

  • Canadian Imperial Bank of Commerce, as administrative agent for a syndicate of lenders, in connection with C$1.25-billion credit facilities provided to Northland Power Inc.

  • Canadian Imperial Bank of Commerce, as administrative agent for a syndicate of lenders, in providing term and asset-based credit facilities to Richardson International Limited in an aggregate amount exceeding C$1-billion

  • A Canadian chartered bank in connection with credit facilities in an aggregate amount of approximately C$100-million provided to finance the acquisition of a real estate property portfolio

  • The administrative agent and lenders in connection with credit facilities made available to Choice Properties Real Estate Investment Trust in connection with its plan of arrangement with Canadian Real Estate Investment Trust

  • The administrative agent for a syndicate of lenders in respect of a corporate credit facilities provided to Alcanna Inc.
