About Cheryl

Cheryl's practice focuses on mergers and acquisitions, divestitures, private equity investments, joint ventures and corporate reorganizations. She has substantial experience in negotiating and advising in connection with acquisitions and divestitures for both public and private companies, with a particular focus in the financial services, insurance and life sciences industries.

Cheryl also has extensive experience in assisting clients in the life sciences and insurance industries in connection with their commercial outsourcing arrangements. In the life sciences area, she routinely acts for manufacturers and distributors of pharmaceutical products and medical devices in connection with their product licensing, marketing, distribution, and supply arrangements. For financial institutions and insurers, she regularly advises in connection with the implementation of insurance programs and national and international reinsurance arrangements.

Cheryl is a member of the Blakes Executive Committee.

  • Royal Bank of Canada on its C$13.5-billion acquisition of HSBC Bank of Canada

  • Ontario Teachers Pension Plan Board on its acquisition of HomeQ Corporation, the parent company of Home Equity Bank

  • Pacific Equity Partners on its C$165-million divestiture of AST Investor Services Inc. (Canada) and AST Trust Company (Canada) to the TMX Group Limited

  • Intact Financial Corporation on its C$1-billion acquisition of The Guarantee Company of North America and MGA Frank Cowan Company Limited

  • Republic Financial Holdings Limited on its acquisition of Scotiabank's Caribbean banking operations

  • Transamerica/Aegon on the C$600-million sale of its business in Canada to Wilton Re/CPPIB

  • GlaxoSmithKline Biologicals S.A. on its advanced purchase agreement with the Government of Canada for the supply of adjuvanted COVID-19 vaccines in collaboration with Sanofi

  • GlaxoSmithKline Biologicals S.A. on its collaboration agreement with Medicago Inc. to develop, manufacture and distribute a COVID-19 candidate vaccine

  • GlaxoSmithKline Inc. on its supply agreement to provide the Government of Canada with its COVID-19 monoclonal antibody therapy

  • Catalent Pharma Solutions Ltd., as Canadian counsel, on its purchase of all of the shares of Accucaps Industries Ltd. from Apotex Holdings Inc.

  • A large multinational provider of electronic and electronical products, systems and solutions on the Canadian aspects of a multi-billion dollar sale of their global medical device business

  • A private equity firm in connection with its acquisition and continuing consolidation of specialist dental and orthodontist practices across Canada

  • GlaxoSmithKline plc, as Canadian counsel, in connection with the Canadian aspects of its major three-part inter-conditional transaction with Novartis AG involving its vaccines, oncology and consumer healthcare businesses (this deal was named Matter of the Year in the 2015 GCR Awards)
