About Doug

Doug practises complex commercial litigation, most often in regard to disputes arising from private equity investments, M&A, shareholder activism and corporate governance issues, oppression claims, and securities and financial regulatory enforcement. He is also sought after for his ability to handle highly contentious and sensitive board and shareholder controversies involving both public and private companies, including by advising boards and by conducting internal investigations.

Doug is an experienced trial lawyer, and has appeared before all levels of court in Ontario as well as a broad range of major Canadian securities, financial and accounting regulators. He is adept at driving an aggressive litigation posture while maintaining a disciplined focus on his clients' strategic objectives and practical needs.

  • Lead counsel to a consortium of leading Canadian banks in a C$83-million claim against a public-issuer lending client and its officers and directors, alleging oppression, misrepresentation, and other misconduct arising out of a large commercial credit arrangement

  • Lead counsel to a leading global investment banking firm in a confidential engagement relating to director misconduct at one of the firm's Canadian portfolio companies

  • Lead counsel to one of the world's largest sovereign wealth funds in a confidential engagement relating to director and officer misconduct in one of the fund’s Canadian portfolio companies;

  • Lead counsel to a large Canadian accounting firm in defence of a C$80-million auditor negligence claim brought by a former audit client, arising out of audits of a reporting issuer investment trust

  • Lead counsel to a large private equity group in regard to a C$40-million M&A dispute against a vendor and joint-venture partner, including claims of misrepresentation, breach of duty of good faith, and oppression

  • Lead counsel to the independent directors of large Canadian mining company in confidential arbitration proceedings brought by dissident shareholders, involving oppression and valuation claims with an estimated claim value in excess of C$1-billion

  • Lead counsel to a large Canadian fuel producer in a C$180-million breach of contract claim against a prominent engineering company

  • Counsel to a director of a public Canadian mining company in an OSC enforcement proceeding alleging misrepresentation in public disclosure, and accounting controls failures

  • Counsel to an Ontario public issuer in a three-week trial before the Commercial List, alleging breach of director and officer duties by the former CEO and CFO, and defending the appeal of the trial decision before the Ontario Court of Appeal

  • Counsel to a group of dissident shareholders in a successful proxy fight to replace incumbent management of a NASDAQ-listed Canadian issuer

  • Counsel to an investment bank in a three-week trial before the Superior Court of Ontario relating to disputed compensation for a series of corporate finance transactions, and successfully defending the appeal of the trial decision before the Ontario Court of Appeal

Professional Activities

Doug regularly comments on securities litigation news and developments. His writing has been published in the National Journal of Constitutional Law, amongst other publications, and his writing on regulatory enforcement powers has been cited by the Supreme Court of Canada.

Doug has been selected for a three-year term as a member of the Securities Proceedings Advisory Committee where he will provide valuable insight and feedback for enhancing the OSC's administrative tribunal's policy and procedural initiatives.

Doug is active in the Ontario Bar, including through his participation in standing committees of The Advocates' Society. He recently completed a three-year membership in the Ontario Securities Commission's Litigation Assistance Program, which provides pro bono legal aid to individuals charged with securities contraventions.

Doug is a member of the Ontario Bar Association, the Canadian Bar Association and The Advocates' Society.
