About Louis-Philippe

Louis-Philippe's practice focuses on mergers and acquisitions (M&A), securities and corporate financing.

Louis-Philippe advises clients on a broad range of M&A and corporate transactions, including private placements, reverse takeovers and equity financing. He assists institutional investors as well as both private and public companies in the health, energy, mining, construction, manufacturing and technology sectors. Louis-Philippe regularly acts for issuers listed on the Toronto Stock Exchange (TSX) and the TSX Venture Exchange (TSXV), among others.

Louis-Philippe was seconded to the legal department of one of Canada's largest pension investment managers, where he participated in a wide range of international transactions in the areas of financial services, health care, natural resources and professional services.

Louis-Philippe is fluent in English and French.

  • Caisse de dépôt et placement du Québec, as shareholder of H2O Innovation Inc., in H2O's going-private transaction with Ember SPV I Purchaser Inc.

  • Valsoft Corporation in connection with a US$100-million minority equity investment by Viking Global Investors

  • CDP Investissement Inc., a wholly owned subsidiary of Caisse de dépôt et placement du Québec, on an investment in Talent.com, one of the fastest-growing job search platforms in the world

  • Novacap Industries on the sale of Hallcon

  • New Millennium Iron Corp. on the reverse takeover of Abaxx Technologies Inc., which subsequently started trading on the Neo Exchange Inc.

  • G Mining Ventures in connection with a series of equity investments made by way of private placements

  • Investissement Québec on a C$25-million investment in Explorance Inc., a leader in the experience management sector

  • dentalcorp, Canada’s leading network of general practice dentists and dental specialists, on various strategic issues

  • Traductions Serge Bélair Inc. (TRSB) in relation to its recapitalization by Hammond, Kennedy, Whitney & Company, Inc. (HKW)

  • A Japanese strategic investor on its acquisition of a Quebec-based industrial enterprise

  • A Canadian pension fund in connection with a series of equity investments made by way of private placements in a TSX-listed professional services company

  • Charbone Corporation in connection with its reverse takeover of Orletto Capital II

  • A Swedish strategic investor on its acquisition of a Quebec-based industrial enterprise
