About Marie-Claire

Marie-Claire advises clients on corporate income tax and commodity tax matters with a focus on mergers and acquisitions, corporate and partnership reorganizations, financings, and Canadian tax issues relating to international and cross-border transactions. Her clients range from small business owners to multinational corporations.

On the personal income tax side, Marie-Claire counsels high-net-worth individuals and foreign clients on all aspects of tax planning, including the establishment, operation and reorganization of businesses and succession planning.

A practical and straightforward person with tremendous tax acumen, Marie-Claire acts as a trusted advisor to her diverse client base. She is especially admired for her responsiveness and her ability to translate complicated matters into simple language.

  • Rokstad Power Corporation & Affiliates in reacquiring from the Carillion Group full ownership of the businesses and undertakings of the Rokstad Power Group of Companies, enabling the business to continue as a recognized leader in the industry, using a pre-packaged Companies' Creditors Arrangement Act (CCAA) proceeding to effect a complex transaction

  • BMO Capital Partners Inc., one of the largest diversified financial services providers in North America, on its equity co-investment with Kilmer Van Nostrand Co. Limited, Manulife Capital Inc. and others in English Bay Batter LP to assist with the acquisition of the business and assets of English Bay Batter Inc., a North American market-leading bakery company

  • ERP Steel Works, LLC on the sale of approximately 52% of the shares of Conuma Coal Resources Ltd. to AMCI Euro-Holdings B.V.

  • The developer of the Jameson House Project, a 36-storey C$200-million mixed-use development project, on its groundbreaking restructuring under the CCAA

  • Conuma Coal Resources Ltd., a member of the ERP Group of Companies, on its US$35-million acquisition of assets plus assumed liabilities, including three surface-mining coal complexes from Walter Energy Canada, which it purchased from Western Energy in 2011 for over C$3-billion (awarded 2017 Cross-Border Turnaround of the Year and Restructuring Deal of the Year (US$100-million to US$250-million) at the 2017 M&A Advisors Awards (November 2017))

  • ISL Health, the consortium chosen to design, construct and operate the new Royal Jubilee Hospital, a state-of-the-art patient-care centre in Victoria, British Columbia
