About Michelle

Michelle advises both public and private companies, as well as investment dealers, on a broad range of matters, including mergers and acquisitions, public offerings, stock exchange listings, private placements, restructurings, take-over and issuer bids and other transactions. In addition to transactional work, Michelle also advises companies on general corporate matters and compliance with securities law and stock exchange requirements.

Michelle represents companies in all aspects of their corporate and commercial activities, including with respect to commercial agreements, compliance and reporting, corporate governance, continuous disclosure and equity-based compensation arrangements.

Michelle acts for companies in a broad range of industries and has extensive experience working in the mining, technology and life sciences sectors.

  • Azarga Uranium Corp. on its agreement to be acquired by enCore Energy Corp. in a transaction valued at approximately C$170-million

  • Artemis Gold Inc. in connection with its acquisition of the Blackwater Gold Project from New Gold Inc., the associated gold stream and C$175-million offering of common shares

  • New Found Gold Corp. on its initial public offering and subsequent C$57.5-million bought deal public offering of flow-through common shares

  • Thinkific Labs Inc. on its C$160 million initial public offering

  • Plateau Energy Metals Inc. on its C$160-million acquisition by American Lithium Corp.

  • Atlantic Gold Corporation in connection with its acquisition by St Barbara for C$802-million

  • Helius Medical Technologies, Inc. in connection with its C$10.2-million prospectus offering and listing on the Toronto Stock Exchange, as well as its subsequent public offerings

  • Lundin Gold Inc. in its US$240-million acquisition of the Fruta del Norte gold project from Kinross Gold Corporation

  • Claude Resources Inc. in connection with its acquisition by Silver Standard Resources Inc. for C$337-million

  • Catalyst Paper Corporation in connection with the restructuring of its approximately C$840-million in senior debt

  • Coalspur Mines Limited in connection with its listing on the Toronto Stock Exchange and C$90-million acquisition of coal leases, as well as subsequent public offerings and private placements

  • Mantra Resources Limited in connection with its listing on the Toronto Stock Exchange, C$52-million public offering and its A$1-billion acquisition by JSC Atomredmetzoloto

  • Red Back Mining Inc. in connection with its US$7.3-billion acquisition by Kinross Gold Corporation, as well as several previous public offerings and private placements

  • The Special Committee of Coastal Contacts Inc. in connection with its acquisition by Essilor International SA for C$435-million
