About Nathan

Nathan’s practice focuses on project development and complex commercial arrangements in the power and renewable energy, LNG, oil and gas and midstream sectors, as well as related infrastructure development. He advises clients throughout all phases of major energy and related infrastructure projects, including structuring and negotiating EPC, EPCM and other construction agreements, material and equipment supply agreements, operation, services and maintenance agreements, joint venture and partnership structures, project development frameworks, and midstream transportation and storage agreements. He also maintains a strong practice in corporate and transactional matters, including advising on purchase and sale agreements, transactions related to large-scale energy projects and other energy‑related commercial contracts.

Nathan previously worked in the energy, resources and projects group of a large national firm in Brisbane, Australia, where he advised on mining transactions, project development, electricity purchase and sale arrangements, and port and rail access and development matters.

Prior to joining Blakes, Nathan served as Assistant General Counsel for Canadian operations of a major midstream company and later held a Senior Director role on a legacy Canadian infrastructure mega project where he was a member of the project leadership team. In that role, he was responsible for a broad portfolio of project-critical matters, including negotiation and management of key project development agreements, land acquisitions, provincial permitting, and acting as a primary interface with provincial regulators and senior government officials on complex permits issues and project related matters.

Nathan’s combined private practice and in‑house experience give him a deep understanding of the commercial, regulatory and execution challenges associated with developing and delivering major energy and associated infrastructure project, enabling him to provide practical, solutions‑oriented advice on complex power and renewable energy, LNG, oil and gas and midstream and transmission projects.

Select Experience

Recent representative matters include acting as counsel to:

  • Ontario Power Generation with respect to EPC agreements on multiple projects in relation to the refurbishment of a 2,000 MW nuclear generation station in Ontario  

  • Western LNG with respect to EPC, EPCM, and multiple construction agreements, and various project related agreements and matters pertaining to the development of a natural gas pipeline and LNG facility

  • Potentia Renewables on EPC agreement, turbine supply agreement, services and maintenance agreement, and other project related supply and construction agreements for 200 MW wind project and 100 MW solar project

  • EDP Renewables Canada Ltd. on EPC agreement for the development of 75 MW energy storage facility

  • Woodfibre LNG on construction management services agreement and various project development agreements related to the development of LNG facility and related construction infrastructure  

  • Nutrien Ltd. on various EPC agreements, construction and procurement agreements, and other supply chain and operational agreements for the development of potash mines and nitrogen production facilities

  • Suncor Energy Inc. on offgas supply agreement for long term processing and handling services and offgas supply from the Suncor base plant operations
