About Sarah

Sarah's practice focuses on corporate finance, debt financing and related transactions. She acts for both lenders and borrowers, including those in the mining and natural resources sector, in connection with secured and unsecured financings (bilateral and syndicated), asset-based lending transactions, cross-border transactions and streaming transactions.

Prior to law school, Sarah earned her bachelor of commerce degree from the University of British Columbia, specializing in organizational behaviour and human resources.

Recent representative transactions include advising:

  • Capstone Mining Corp. on refinancing its C$500-million secured revolving credit facility in connection with its business combination with Mantos Copper

  • Equinox Gold Corp. on its C$700-million secured revolving credit facility

  • Seabridge Gold Inc. in connection with its US$225-million note to Sprott Resources and Ontario Teachers' Pension Plan which is convertible into a silver royalty

  • A prominent U.S.-based private equity group as lead financier of NorZinc Ltd. in connection with its development of a zinc and nickel mine in the Northwest Territories, including secured loan and secured royalty arrangements

  • The Bank of Nova Scotia as agent and lead arranger of a C$285-million syndicated financing to one of Canada's leading security services and security technology firms

  • Well Health Technologies Corp. in connection with its financing for the acquisition of My Health Partners Inc.

  • Resource Capital Funds as lender to Orezone Gold Corp. in connection with its development of a gold mine in Burkina Faso

  • Equinox Gold Corp. in connection with US$260-million credit facilities used to, among other things, refinance the Aurizona project financing and the Mesquite acquisition financing

  • CRH Medical Corp. on re-financing its US$55-million secured credit facility

  • A U.S. lender in connection with a C$498-million commercial real estate loan to Canadian borrower

  • The lenders in connection with acquisition financing for recent acquisitions, including private equity sponsored acquisitions of businesses in the mining, health and fitness, recreational, parking, transportation, and light industrial manufacturing industries in Canada and the U.S.

  • A large Canadian financial institution as agent and lead arranger of a C$155-million syndicated financing to a leading Canadian truck leasing operation

  • The Bank of Nova Scotia as agent and lead arranger of a C$220-million syndicated financing to Canadian Energy Services LP
