About Stephan

Stephan's practice focuses on commercial financing, including debt financing, project financing, acquisition financing, asset-based lending and related transactional work. He acts on behalf of both lenders and borrowers in connection with a variety of banking transactions. Stephan also has experience with project development and corporate mergers and acquisitions and has acted for clients in the renewable energy, electrical power, and technology sectors.

Prior to joining Blakes, Stephan worked as an associate at another national law firm.

Select Experience

Recent representative matters include acting for:

  • Various leading domestic and international financial institutions in connection with syndicated and bilateral financings ranging in size from C$2-million to C$1-billion

  • EDP Renewables Canada Ltd. with regard to project financing in respect of its 297 MW Sharp Hills Wind Project located near Sedalia and New Brigden, Alberta

  • Capstone Infrastructure Corporation and certain of its subsidiaries on various credit arrangements, including:

    • C$220-million corporate revolving credit facility provided to Capstone Power Corp.

    • C$65-million project financing with ATB Financial, as lender, in respect of its 68 MW Buffalo Atlee Wind Project located near Jenner, Alberta

Select matters in which Stephan has been involved prior to joining Blakes include representing:

  • A solar energy project developer in its sale of an early-stage 150 MW solar development project in Central Alberta

  • A Crown corporation in its C$407.5-million loan to create additional irrigable acres in Alberta

  • A Canadian consulting engineering firm in its merger with a U.S. infrastructure engineering firm

  • An accounting platform in its C$75-million acquisition of a Canadian tax software developer

  • A leading technology company in its C$70-million acquisition of a Canadian software developer

  • A manufacturing company in its negotiation of a behind-the-meter power purchase agreement

  • An energy company in its restructuring matters relating to a C$2-billion refinery

  • A renewable energy technology accelerator in its business combination with another renewable energy technology accelerator

  • The generators and power purchasers of several wind, solar and battery storage projects in the negotiation and administration of power purchase agreements
