About Liam

Liam's practice focuses on international and domestic mergers and acquisition and capital markets transactions. He advises Canadian and foreign companies on acquisitions, dispositions and strategic investments, public financings and private placements, and corporate governance and securities law compliance matters.

Liam has experience across a variety of industries such as financial services, pharmaceuticals, technology, utilities and mining. In recent years, he has acted for producers, investors and potential acquirors in the growing battery-metals space.

From 2016 to 2017, Liam was seconded to the Firm's office in London, where he focused on cross-border M&A and corporate finance transactions and advised both Canadian and foreign companies conducting business or offerings in Canada.

Liam previously completed a secondment in the corporate finance branch of the Ontario Securities Commission.

  • BHP in connection with its take-over bid for Noront Resources Ltd.

  • Hudson’s Bay Company in connection with its C$2-billion privatization transaction with a shareholder group led by the Company’s Executive Chairman

  • The Special Committee of the Board of Trustees of Agellan Commercial REIT in connection with the acquisition of all of the outstanding units of the REIT by Elad Genesis Limited Partnership, an affiliate of El-Ad Group, Ltd.

  • A leading Japanese trading house in connection with its investment in a Quebec-based graphite company

  • HLS Therapeutics Inc. on its going-public transaction by way of reverse take-over of Automodular Corporation, which was implemented through a plan of arrangement

  • Avnel Gold Mining Limited in connection with its C$160-million acquisition by Endeavour Mining Corporation

  • Qinetic Group on its acquisition of the Canadian subsidiaries of Meggitt Target Systems

  • Capstone Infrastructure Corporation on iCon Infrastructure Partners III’s acquisition by way of a plan of arrangement of Capstone for approximately C$480-million

  • BCE Inc. in connection with its C$594-million acquisition of Glentel Inc. and subsequent sale of a 50% interest in Glentel to Rogers Communications Inc.

Corporate Finance

  • First Quantum Minerals Ltd. on its C$1.55-billion bought deal offering of common shares and certain Canadian aspects of other components of its US$5.5-billion comprehensive refinancing package

  • Definity Financial Corporation on its C$1.6-billion initial public offering and C$800-million concurrent private placements completed in connection with the demutualization of Economical Mutual Insurance Company, the largest Canadian IPO of 2021

  • BMO Capital Markets as sole agent in connection with the C$575-million private placement of common shares of Ivanhoe Mines Ltd.

  • The underwriters in connection with the US$300-million offering of common shares of Colliers International Group Inc.

  • Algonquin Power & Utilities Corp. in connection with multiple public offerings of common shares and multiple cross-border public offerings of fixed-to-floating hybrid notes

  • HLS Therapeutics Inc. in connection with a bought deal offering of common shares and its US$385-million private placement financing of debt and equity, the proceeds of which were used to acquire the Clozaril® rights from Novartis

  • Think Research Corporation in connection with its qualifying transaction by way of plan of arrangement between AIM4 Ventures Inc. and TRC Management Holdings Corp.

  • The underwriters in connection with the offering of Canadian dollar high-yield notes by Brookfield Residential Properties Inc.

  • The underwriters in connection with a bought deal offering of debentures by North American Construction Group Ltd.
