About Michael

Michael's practice involves all aspects of corporate/commercial litigation and arbitration, with a focus on oil and gas law, contract disputes, royalty disputes, fraud claims and insurance matters.

Michael regularly advises Canadian and multinational corporate clients on compliance with domestic and international anti-bribery and corruption legislation. He has conducted internal investigations in response to corruption allegations. Michael also assists clients with implementing and improving anti-corruption compliance programs and with anti-corruption diligence during mergers, financings and other commercial transactions.

Michael also advises on compliance with a variety of other criminal and regulatory legislation and has defended clients charged under a variety of criminal and regulatory statutes. He also advises clients on search and seizure issues.

Select Experience

Among the matters in which Michael has been involved are the following:

  • Defended a large U.S. company, and its Canadian subsidiary, against a number of Criminal Code charges alleging bribery of public officials.

  • Conducted international anticorruption investigations for a number of multinational clients in relation to allegations of improper payments to government officials in South America, Central America, Africa and Asia

  • Designed and implemented numerous anticorruption programs for multinational corporations

  • Defended fraud and other related charges

  • Defended clients faced with investigations and prosecutions arising from fatalities and serious workplace injuries

  • Assisted clients in responding to Alberta Securities Commission investigations

  • Represented a large company in a C$50-million arbitration

  • Acted in a commercial arbitration relating to pipeline construction standards and deficiencies

  • Acted in disputes involving Crown and freehold royalties

  • Acted in coverage disputes relating to faulty design and workmanship exclusions, and provided coverage advice with respect to historical and "long tail" insurance claims and in relation to political risk insurance in high risk foreign energy jurisdictions
