About Pascal

Pascal has over 25 years of experience in corporate finance and mergers and acquisitions. He focuses on capital markets, venture capital, growth equity and private equity.

Pascal specializes in business law. He advises clients on private placements, fund formation, joint ventures, public offerings, going-private transactions, plans of arrangement, take-over bids, private M&A transactions and ESG. He frequently acts for issuers listed on the Toronto Stock Exchange, as well as underwriters, emerging companies and investors.

Pascal has advised clients from a wide range of sectors, including technology, telecommunications, life sciences, financial services, energy and natural resources.

He is fluent in both English and French.

  • EnGene Holdings Inc., in its business combination with Forbion European Acquisition Corp., a special purpose acquisition company (SPAC)

  • Saint-Gobain in its C$1.325-billion acquisition of Montreal-based Building Products of Canada Corp.

  • The Special Committee of IOU Financial Inc. in connection with its going-private transaction under a statutory plan of arrangement

  • The Special Committee of Turquoise Hill Resources Ltd. on its acquisition by Rio Tinto

  • Desjardins Global Asset Management on the formation of DGAM Global Private Infrastructure Fund

  • Caisse de dépôt et placement du Québec, as shareholder of H20 Innovation Inc., in H20's going-private transaction with Ember SPV I Purchaser Inc.

  • Savaria Corporation in connection with a bought deal and a concurrent private placement with the Caisse de dépôt et placement du Québec in support of its SEK2.9-billion (C$452-million) cash bid for Handicare Group AB

  • Caisse de dépôt et placement du Québec, Fonds de solidarié FTQ, Investissement Québec and other participants on their investment in Inovia Capital's C$450-million backing of domestic tech champions

  • Allied Universal Security Services LLC on its US$5.3-billion take-over of G4S plc

  • Power Sustainable Capital Inc., a principal shareholder, in connection with the initial public offering, through a special purpose acquisition company (SPAC) of Lion Electric Company

  • Desjardins Group on the close of a C$25-million Series B by Brim Financial

  • Investissement Québec in a C$150-million investment in Olymel L.P.

  • New Millennium Iron Corp. in connection with the completion of the reorganization of its relationship with TS Global Minerals Holdings Pte. Ltd., Tata Steel Minerals Canada Ltd. and TSMUK LTD

  • New Millennium Iron Corp. on the reverse take-over of Abaxx Technologies Inc., which subsequently started trading on the Neo Exchange Inc.

  • Private Debt Partners Inc. in connection with the formation of a Senior Opportunities Debt Fund

Professional Activities

Pascal is a member of the Canadian Venture Capital Association's (CVCA) Private Capital Model Committee and Fund Formation Model Committee. He was also a member of the Advisory Committee of Quebec's Autorité des marchés financiers (AMF), as well as of Quebec's 2010 Strategic Focus' advisory committee on the next generation of business leaders.

Pascal sits on the board of the Fondation du Musée d’art contemporain de Montréal, as well as that of the Canadian Club of Montréal, of which he is also the president.
