About Jason

Jason's practice focuses primarily on secured lending and structured finance transactions, with a particular emphasis on aviation, project finance, infrastructure and defence. He is Chair of the Firm's Aviation & Aerospace group.

Jason has represented various aircraft lessors, manufacturers and financiers on aircraft finance and commercial aviation matters. He has also represented both lenders and borrowers in domestic and international transactions, which have included asset-based lending, project finance, public-private partnerships and both public and private debt and capital markets offerings. Jason routinely advises clients on complex aviation regulatory matters, including foreign investment in Canadian airlines, Transport Canada audits, maintenance and repair certifications and airport privatization matters. He launched and co-leads Blakes Drones group and routinely advises the Firm's key corporate clients on the use of drone technology in their commercial operations.

Jason sits on the board of directors for Space Place Planetarium Canada, a charitable organization working to bring a 21st Century public planetarium to Toronto. He is also a member of the Executive Committee of the Legal Advisory Panel to the Aviation Working Group.

Select Experience

Jason has recently been involved in representing:

  • PNC Aviation Finance on a significant portion of its Canadian aircraft financing matters, on more than 65 transactions involving over 15 aircraft types

  • Avolon on a number of projects relating to their Canadian fleet, including leases, purchase and sale, sale-leaseback, asset-back securitizations and refinancings

  • Major aircraft lessors in portfolio sales of more than 300 aircraft including asset pools being securitized within the U.S. market

  • Senior lenders on various limited-recourse financings (including tax-structured deals) of the acquisition of aircraft lease portfolios valued at more than US$2-billion

  • Aviation Working Group in connection with the development and preparation of its Cross-Border Transferability Hand Book

  • Aergo Capital on the financing and sale-leaseback of 3xB737-8 aircraft to Lynx Air

  • Azorra Aviation on the pre-delivery payment financing and sale-leaseback of 5xE195-E2 aircraft and spare engines to Porter

  • The underwriters on both of Air Canada's 2015 EETC transactions (2015-1: 1xB787-8 and 8xB787-9 aircraft and 2015-2: 3xB787-9 and 2xB777-300ER aircraft) 

  • Morgan Stanley and Credit Suisse (underwriters) on the Air Canada Enhanced Equipment Trust Certificates (EETC) transaction for 5xB777-300ER aircraft (awarded Airfinance Journal (North America) Deal of the Year 2014)

  • The arrangers and lenders in connection with recent acquisition transactions, Birch Hill's acquisition of Softchoice and DHX Media Ltd.'s acquisition of Cookie Jar Entertainment

  • Infrastructure Ontario and Metrolinx on the Eglinton Crosstown LRT design, build, finance and maintain project

  • Infrastructure Ontario on the Credit Valley Hospital Phase II Redevelopment Project

  • City of Saskatoon on a design, build, finance, operate and maintain projects in connection with the Civics Operation Centre

  • City of Calgary on a design, build, construction, operation and maintenance P3 project for an organics processing facility (food and de-watered biosolids)

  • City of Sudbury on the design, build, finance and maintain project for a new biosolids facility and related upgrading of existing City water and wastewater facilities
