About Stacy

Stacy is a member of the Firm's Executive Committee and leads the Blakes Investment Products & Asset Management group.  Her legal practice focuses on investment funds, corporate finance, securities regulatory matters and public company transactions.  

Stacy advises Canadian and international asset management companies on the structuring, regulation and registration of closed-end investment funds, mutual funds, structured notes and flow-through limited partnerships. She also works closely with investment dealers, financial institutions and companies on debt and equity financings, registration and regulatory compliance, private placements and fund formation.

She has expertise in contested proxy battles and regularly advises public issuers and their boards on various matters, including governance and shareholder engagement.

Stacy is currently a director of the Stop Community Food Centre, director and chair of the Governance Committee of Ronald McDonald House Charities Canada and a director of the Ontario Hockey Federation. She is also a member of Women in Capital Markets and the Alternative Investment Management Association.

Investment Funds

  • CIBC on the launch of the first-ever Canadian Depositary Receipts ("CDRs"), a novel structured product providing Canadian investors with access to hedged fractional investing in large-cap foreign stocks

  • Disruption Ventures Limited Partnership in connection with its launch of a women-focused venture fund, the first private female-founded venture capital fund for women entrepreneurs, and its initial raise of C$11.5-million

  • Canoe Financial LP on its acquisition of the investment fund management contracts for nine Fiera Capital mutual funds from Fiera Capital Corporation

  • Canoe EIT Income Fund on its C$140-million Series 1 preferred unit offering

  • CI Financial Corp. on its acquisition of Sentry Investments Inc. for C$780-million in cash and common shares of CI Financial Corp.

  • First Asset Capital Corp. in connection with CI Financial Corp.'s acquisition of First Asset Capital Corp. and the related change of control of the investment manager and regulatory approvals

  • TDB Split Corp. on a C$28,117,500 public offering of Class A and Priority Equity Shares

  • Dividend 15 Split Corp. II on a C$44,062,500 public offering of Class A and Preferred Shares

  • Financial 15 Split Corp. on a C$38,295,250 public offering of Class A and Preferred Shares

  • LogiQ Capital's corporate class mutual fund, LOGIQ Mutual Funds Ltd.

  • Clear Sky Capital Inc. in connection with Padlock Partners UK Fund I in its completion of an initial public offering of trust units. The Trust is an unincorporated investment trust and was established for the primary purpose of investing in a diversified portfolio of income producing commercial real estate properties in the United Kingdom with a focus on self-storage and mixed-use properties

  • Clear Sky Capital Inc. in connection with the formation of Padlock Partners UK Fund II and the accompanying initial public offering of trust units of Padlock Partners UK Fund II for aggregate gross proceeds of approximately C$33.8-million

Corporate Finance

  • A Canadian financial institution in connection with its C$5-billion medium term notes (principal at risk structured notes) program and US$6-billion structured note program

  • A Canadian financial institution on its C$800-million offering of preferred shares (NVCC)
