About Scott

Scott's practice focuses on mergers and acquisitions, power projects, corporate finance, private equity, and governance. He has extensive experience in domestic and cross-border acquisitions and financings, as well as distressed M&A and corporate arrangements.

Scott acts as counsel to issuers and underwriters across many sectors, including renewable energy, power, oilfield services, resource exploration and development, manufacturing, technology, real estate, aviation and health care and mental wellness.

Through his extensive power practice, Scott has significant experience in project development, joint ventures and project financings. He acts for both bidders and targets on take-over bids and plans of arrangement (negotiated and hostile), as well as public and private restructurings and financings (including distressed), and regularly advises issuers in connection with corporate governance requirements, continuous disclosure obligations and stock exchange compliance (Toronto Stock Exchange and TSX Venture Exchange).

A significant portion of Scott's practice involves advising boards of directors on governance matters, including special committee representation for acquisition transactions and strategic processes.

  • BluEarth Renewables Inc., a leading independent power producer that acquires, develops, builds, owns and operates wind, hydro, solar and storage facilities across North America, on its:

    • Acquisition and development of:

      • 8 hydro projects in British Columbia

      • 6 wind projects in Alberta, Saskatchewan and Ontario

      • 12 solar projects in Alberta and Ontario

      • 10 solar projects and 2 wind projects in Wisconsin, Minnesota and Iowa

    • Joint ventures with Indigenous partners, including Mohawks of the Bay of Quinte, Batchewana First Nation, shíshálh Nation and Squamish Nation

  • Centurion Group (a division of SCF Partners), a global leader in the supply of specialist rental equipment and services to critical industries, on its:

    • Divestiture of its infrastructure group, SITE Resources, to the Hillcore Group

    • Acquisition of Trido Energy Services, a leading provider of sustainable and innovative solar-powered production equipment and end-to-end carbon credit management solutions

    • Acquisitions of Blue Drop Solutions Inc. (wastewater and water treatment), RioView Industries Inc. (wastewater rentals and treatment), Whitetail Energy Services Inc. (accommodations, communication and ancillary equipment provider), Polar Septic Systems (wastewater rentals and treatment solutions), Canlift Crane, Arctic Crane, and Tango Delta Rentals (remote communication solutions and specialty equipment)

  • Green Impact Partners (TSXV:GIP), a company focused on renewable natural gas projects, on its:

    • Development of Future Energy Park, an estimated $1.2-billion renewable biofuels facility

    • $545-million strategic project equity investment by Amber Infrastructure Group

  • RS Technologies Inc., designer and manufacturer of composite poles and related products for the electric utility transmission and distribution sectors, on its $150-million investment by Energy Impact Partners

  • Stampede Drilling Inc. (TSXV:SDI), a Canada and US focused contract drilling company, on its public share financing and concurrent acquisition of six drilling rigs

  • Orennia Inc., provider of a leading analytics platform for energy transition, on a Series B round investment led by Wellington Management and supported by existing investors Quantum Innovation Fund, NGP, Veriten and Tupper Lake Partners

  • Zylorion Health Inc., a mental health care and psychedelic therapy innovator, on its establishment, fundraising and joint venturing initiatives

  • Primoris Services Corporation (NYSE: PRIM), a leading provider of specialty contracting services operating in the United States and Canada, on its acquisition of Alberta Screw Piles, Ltd.

  • Prairie Storm Energy Corp. on its reverse takeover Qualifying Transaction and listing on the TSX Venture Exchange

  • Calgary Wild FC on the formation of, and participation in, the Northern Super League, Canada's newly formed professional women's soccer league
